1. Agreement to Terms
By purchasing or using the services provided by Ecigus Pty Ltd t/a Ai-360 (“we,” “our,” “us,” or “Ai-360”), you (“Customer,” “you,” or “your”) agree to comply with and be bound by these Terms of Service ("Agreement"). This Agreement is a legally binding contract between you and Ai-360 for the use of services related to the GoHighLevel software and SaaS offerings that we resell. These Terms apply regardless of how you access our services, including through purchase, subscription, or any other means.
2. Services Provided
Ai-360 offers the reselling of GoHighLevel software, including all SaaS (Software as a Service) products, tools, and resources provided through the GoHighLevel platform. Please note that we are a third-party reseller of GoHighLevel's platform. We are not the original provider of the software, and any issues related to the platform are governed by GoHighLevel’s terms and conditions.
3. GoHighLevel Terms of Service
Your use of GoHighLevel software and SaaS services is subject to GoHighLevel's Terms of Service, available at https://www.gohighlevel.com/terms-of-service. As a reseller, we incorporate those terms by reference, and you agree to comply with them. It is your responsibility to periodically review GoHighLevel's Terms as they may change over time. Ai-360 is not liable for any updates or changes made by GoHighLevel. In case of conflict between GoHighLevel’s Terms of Service and this Agreement, GoHighLevel’s Terms will prevail.
4. Customer Account
To access and use our services, you must create an account with Ai-360 and GoHighLevel. You agree to:
Provide accurate, current, and complete registration information.
Maintain the confidentiality of your account information and password.
Notify us immediately of any unauthorized use of your account.
Provide updated billing information to avoid service disruptions.
Accept responsibility for all activities occurring under your account.
5. License to Use the Software
Upon payment and activation, you are granted a non-exclusive, non-transferable, revocable license to access and use GoHighLevel software and SaaS services solely for your internal business purposes, in accordance with this Agreement and GoHighLevel’s Terms of Service.
6. Payment and Billing
By purchasing services, you agree to pay all applicable fees outlined on our website or through our sales process. This includes:
Subscription Fees: Payment is due at the time of purchase and each recurring billing cycle thereafter, based on your selected monthly or annual plan.
Billing Information: You must provide accurate billing details and ensure timely payment.
Non-payment: Late payments may result in suspension or termination of your service access.
Taxes and Charges: You are responsible for any taxes or additional charges applicable to your use of the services.
Non-refundable Fees: Any setup or administrative fees are non-refundable.
7. User Responsibilities
You agree to:
Use the GoHighLevel software and services in compliance with all applicable laws.
Avoid illegal, fraudulent, or abusive activities, such as spamming or hacking.
Not impair or interfere with other users' access.
Provide accurate billing details and prevent fraudulent activities.
8. Restrictions on Use
You agree not to:
Reproduce, duplicate, copy, sell, or resell the software/services without explicit written permission from Ai-360.
Reverse engineer, decompile, or disassemble the GoHighLevel software.
Use services for unlawful or prohibited activities.
Violate GoHighLevel's terms or acceptable use policies.
9. Termination
Ai-360 reserves the right to terminate or suspend your access at any time, without notice, if we determine that you violated this Agreement, GoHighLevel's Terms, or applicable law. You may terminate your use by notifying us. Fees paid prior to termination are non-refundable unless legally required, and outstanding balances remain payable.
10. Refunds and Cancellations
Subscription Cancellation: Cancelled subscriptions will have service access until the end of the billing cycle, with no refunds for unused portions.
Refunds: Refunds considered only for payment errors, fraudulent charges, or legal obligations.
11. Privacy Policy
Your use of services is subject to our Privacy Policy available on our website. By using our services, you consent to data collection, use, and sharing as outlined in the Privacy Policy.
12. Limitation of Liability
To the fullest extent permitted by law, Ai-360 shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your service use. Our total liability shall not exceed amounts paid by you for services in the three (3) months preceding the claim event. Ai-360 is not liable for issues arising from GoHighLevel's software.
13. Indemnification
You agree to indemnify, defend, and hold harmless Ai-360, its employees, contractors, and affiliates against any claims, losses, liabilities, or damages (including attorney fees) resulting from your use of the services, violations of this Agreement or GoHighLevel's Terms, or third-party claims based on your actions.
14. Modifications to the Agreement
We reserve the right to modify this Agreement at any time and will notify you via our website or email. Continued service use after modifications indicates acceptance of updated terms.
15. Governing Law and Dispute Resolution
This Agreement is governed by South African law. Any disputes shall be resolved through the appropriate South African courts.
16. Miscellaneous
Severability: If any provision is found invalid or unenforceable, remaining terms remain in effect.
Force Majeure: Ai-360 is not liable for delays or failures caused by circumstances beyond reasonable control.
Entire Agreement: This Agreement constitutes the entire agreement, superseding all prior agreements.
